STANDARD TERMS AND CONDITIONS OF SALE

  1. Payment Terms: Invoices are payable within 21 working days, unless otherwise stated on the invoice or purchase order.
  2. Late Payment Interest: In case of late payment, GEOSIGMOID GROUP reserves the right to apply a fixed interest of 10% on the outstanding amount.
  3. Service Suspension: GEOSIGMOID GROUP may suspend services without prior notice in case of late payment.
  4. Debt Collection: If payment remains overdue for more than 60 days, GEOSIGMOID GROUP may appoint a debt recovery agency. All related costs and legal fees will be borne by the client.
  5. Withholding Tax: Any withholding tax applied under the client’s local legislation must be paid by the client to the tax authorities. The invoice amount remains due to GEOSIGMOID GROUP in full, without deductions.
  6. Performance Commitment: GEOSIGMOID GROUP commits to use its best efforts to deliver services within agreed timeframes. This is an obligation of means, not an obligation to achieve results.
  7. Third-Party Claims: GEOSIGMOID GROUP cannot be required to act as a third party in any claim filed against the client by an end customer.
  8. Claims & Complaints: Any claim must be notified to GEOSIGMOID GROUP by registered letter within 8 days following delivery of goods or completion of services.
  9. Governing Law: All contractual relations are governed exclusively by the laws of the United Arab Emirates (UAE).

STANDARD TERMS AND CONDITIONS FOR TRAININGS

  1. Training Duration: The training duration is as stated in the quotation or proforma invoice. The schedule will be confirmed by mutual agreement between both parties.
  2. Minimum Participants: The training is confirmed only when a minimum of 2 participants is reached.
  3. Validation: The quotation becomes valid upon the client’s signature and stamp.
  4. Payment: Payment must be made in accordance with the terms defined in the quotation or invoice (deposit, if applicable).
  5. Offer Validity: This quotation is valid for 15 days from the date of issue.
  6. Postponement / Cancellation: Any request for postponement or cancellation must be communicated in writing. Fees may apply depending on the notification date.
  7. Additional Costs: Travel, accommodation, and meals are not included unless otherwise stated.
  8. Training Materials & Deliverables: Training materials will be provided in digital format. A certificate may be issued at the end of the training.
  9. Confidentiality: All information shared during the training is strictly confidential.
  10. Intellectual Property: Training materials remain the property of the trainer/organization and may not be reproduced without prior written authorization.
  11. Client’s Terms: The client expressly waives its own standard terms and conditions. Any exception must be agreed in advance in writing.
